&lt;p&gt;flyExclusive has secured a $30 million grant from North Carolina to expand its maintenance operation and develop a pilot training facility at the Global TransPark in Kinston. The project is anticipated to generate more than 100 new aviation jobs in Lenoir County.&lt;/p&gt;
&lt;p&gt;The funding was authorised under Senate Bill 257 (Session Law 2026-41), signed on 7 July 2026. The North Carolina Global TransPark Authority will retain ownership of the facility while flyExclusive operates it under a long-term lease, with the company contributing significant private investment of its own.&lt;/p&gt;
&lt;h2&gt;What comes back in-state&lt;/h2&gt;
&lt;p&gt;The training centre addresses a cost that currently leaves North Carolina entirely. flyExclusive expects the facility to repatriate approximately $5 million a year in pilot training paid today to out-of-state providers — along with more than 8,000 hotel room nights per year that go with sending crews away to train. Simulators valued at roughly $12 million each will add to local property tax revenue.&lt;/p&gt;
&lt;p&gt;The maintenance side follows the same logic. The expanded facility will include paint, avionics and refurbishment capability, allowing more scheduled and unscheduled work to be completed in North Carolina. The bulk of the company’s $75 million annual maintenance spend currently happens outside the state.&lt;/p&gt;
&lt;h2&gt;Why it matters operationally&lt;/h2&gt;

&lt;p&gt;Every aircraft in the programme flies under Exclusive Jets, LLC — FAA air carrier certificate 3EJA805N — or an approved vendor air carrier. That matters more than it sounds. A single certificate means one set of operating specifications, one maintenance programme, one training curriculum and one safety management system, rather than a patchwork inherited from a dozen owners.&lt;/p&gt;
&lt;h2&gt;What the fleet actually is&lt;/h2&gt;
&lt;p&gt;The fleet is deliberately narrow. Light and midsize work is flown on the Citation CJ3+ and the Citation Excel/XLS. Super-midsize missions go to the Citation X and the Challenger 350. Short-field and water operations belong to the Cessna Caravan, on wheels or on floats.&lt;/p&gt;
&lt;ul&gt;&lt;li&gt;Fewer types means deeper type expertise in the cockpit and in the hangar.&lt;/li&gt;&lt;li&gt;Common parts pools shorten the time an aircraft spends waiting on a component.&lt;/li&gt;&lt;li&gt;Crews stay current on the aircraft they fly most, not on whatever is available.&lt;/li&gt;&lt;/ul&gt;

&lt;p&gt;The maintenance, avionics, interior and paint work happens in flyExclusive’s own facilities. When an aircraft needs an inspection, a cabin refresh or a Starlink installation, it does not join a queue at a third-party shop whose priorities sit elsewhere. &lt;p&gt;As of the reconvened special meeting held on 24 June 2026, 688,285 shares — approximately 48.4% of Jet.AI’s total outstanding shares — had voted in favour of the merger, and approximately 99% of votes cast supported the transaction. Approval required holders of a majority of all outstanding shares, or approximately 710,861 shares, leaving roughly 22,500 additional affirmative votes still needed. The meeting was adjourned to reconvene on 2 July 2026 so remaining stockholders could vote.&lt;/p&gt;
&lt;p&gt;Both Institutional Shareholder Services and Glass, Lewis &amp;amp; Co. recommended that Jet.AI stockholders vote in favour. The merger agreement remained in full force with no changes to terms, structure or economics.&lt;/p&gt;

&lt;p&gt;A fractional share is an ownership interest in a specific aircraft, with a defined annual allocation of hours and a management agreement that covers crew, maintenance, insurance and dispatch. A whole aircraft is all of that, undivided — including all of the fixed cost, whether or not you fly.&lt;/p&gt;
&lt;h2&gt;The costs that do not care how much you fly&lt;/h2&gt;
&lt;ul&gt;&lt;li&gt;Crew salaries, training and currency.&lt;/li&gt;&lt;li&gt;Hangarage and insurance.&lt;/li&gt;&lt;li&gt;Scheduled inspections driven by calendar, not by hours.&lt;/li&gt;&lt;li&gt;Depreciation and the residual-value risk that goes with it.&lt;/li&gt;&lt;/ul&gt;
&lt;p&gt;Those are the numbers that make low-utilisation whole ownership expensive per hour flown. A share divides them.&lt;/p&gt;
&lt;h2&gt;The crossover&lt;/h2&gt;
&lt;p&gt;Below the crossover, a share carries less fixed cost than you would absorb alone. Rather than recalculating schedules from scratch when conditions change, the system precomputes valid options across the full fleet, which allows near-instant schedule recovery during irregular operations. &lt;p&gt;Contrails is a flight management system purpose-built for Part 135 operators.
